Terms & Conditions

STUDENT-ATHLETE SERVICES AGREEMENT — PLATFORM LIMITED

PARTIES

This Agreement is entered into between:

  1. Platform Limited ("Platform"), a company registered in New Zealand, which provides student-athlete placement services for admission to U.S. colleges.
  2. Ngahuia Walker ("Athlete" or "Client"), a student-athlete seeking services to facilitate college placement in the United States.

BACKGROUND

Platform Limited provides services to assist student-athletes in applying for admission and scholarships to U.S. colleges. The Client acknowledges that acceptance into a college and the award of a scholarship are not guaranteed. This Agreement outlines the services provided and the Client's responsibilities.

1. TERM AND TERMINATION

This Agreement begins upon signing and remains in effect until the Client's confirmed enrollment at a U.S. college or termination per this clause.

1.1 The Client acknowledges that Platform's services are provided irrespective of whether the Client ultimately secures a scholarship.

1.2 Platform reserves the right to terminate this Agreement without refund if the Client:

(a) Fails to comply with U.S. college recruitment guidelines; (b) Engages other recruiting services without Platform's written consent; (c) Fails to provide necessary documentation in a timely manner; (d) Breaches any terms of this Agreement.

2. SERVICES PROVIDED

Platform Limited will provide the Client with the services detailed in Schedule 1.

3. CLIENT OBLIGATIONS

The Client agrees to:

3.1 Fully complete all necessary documents and provide accurate information; 3.2 Pay the required fees as outlined in Schedule 3; 3.3 Maintain communication with Platform throughout the process; 3.4 Inform Platform of any direct contact from U.S. college coaches; 3.5 Ensure compliance with NCAA/NAIA eligibility requirements.

Failure to meet these obligations may result in the termination of services without a refund.

4. PAYMENT TERMS

4.1 The total fee for services is NZ$9,500, payable within 7 days of signing this Agreement. Payment details are in Schedule 3.

4.2 No refunds will be provided under any circumstances, including but not limited to:

(a) The Client failing to meet NCAA/NAIA academic or athletic eligibility; (b) The Client withdrawing from the process voluntarily; (c) A change in the Client's decision regarding attending an American college.

4.3 If the Client fails to make any scheduled payment, Platform may suspend or terminate services immediately.

5. REFUND POLICY

5.1 All payments made under this Agreement are non-refundable, except in the following circumstances:

(a) If Platform fails to deliver the services outlined in Schedule 1, a partial refund may be granted at Platform's discretion. (b) If the Client is medically unable to continue the recruitment process and provides verified documentation from a medical professional, a refund may be considered on a case-by-case basis. (c) If Platform terminates the Agreement due to reasons unrelated to the Client's performance or obligations, a proportional refund may be provided based on the services already rendered.

5.2 Refund requests must be made in writing and submitted to Platform within 30 days of the event leading to the request. Platform will review refund claims and respond within 14 days of receipt.

5.3 Platform is not responsible for third-party fees, including NCAA/NAIA registration, SAT/ACT exams, medical insurance, tutoring, visa applications, or travel expenses. These costs are to be paid by the Athlete if any.

6. CONFIDENTIALITY AND NON-CIRCUMVENTION

6.1 Confidentiality: Both parties agree to keep all information exchanged under this Agreement confidential. Confidential information includes academic records, recruitment strategies, and any proprietary information disclosed by Platform.

6.2 Non-Circumvention: The Client agrees not to bypass Platform and engage directly with colleges or scholarship providers using information obtained through Platform's services without prior written approval.

6.3 Exceptions: Confidentiality obligations do not apply if information:

(a) Is publicly available through no fault of the Receiving Party; (b) Is required to be disclosed by law or court order.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 Subject to the NCAA/NAIA Bylaws, Platform cannot guarantee the Client's admission to any college or the award of a scholarship.

7.2 Platform is not responsible for:

(a) NCAA/NAIA eligibility decisions; (b) Visa approvals or rejections; (c) The Client's academic or athletic performance; (d) Any fees beyond those explicitly covered in this Agreement.

7.3 The Client acknowledges that final acceptance and scholarship awards are at the discretion of U.S. colleges and athletic associations.

8. AMENDMENTS

Platform reserves the right to modify these terms with 30 days' notice to the Client.

9. GOVERNING LAW

This Agreement is governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Any modifications must be in writing and signed by both parties.

11. ASSIGNMENT

Platform may assign, transfer or otherwise deal with its rights and obligations under this Agreement to any third party without the prior consent of, or providing notice to, the Client. Any permitted assignment by Platform under this clause does not relieve Platform of its obligations under this Agreement unless otherwise agreed in writing by the assignee.

SCHEDULE 2 — CLIENT RESPONSIBILITIES

  • Complete all required college applications and register with the NCAA/NAIA
  • Cover expenses: SAT, Visa, SEVIS, Travel, Insurance, NCAA Registration, NAIA Registration
  • Attend all mandatory recruitment meetings
  • Acknowledge and sign off on the three included recruitment videos
  • Utilise the meeting scheduler to schedule meetings with the Placement Team
  • Maintain academic & athletic standards required by U.S. colleges
  • Keep Platform informed of all communications with coaches

SCHEDULE 3 — PAYMENT TERMS

  • Service Fee: NZ$9,500 (non-refundable)
  • Payment Due: Within 7 days of signing
  • Failure to pay within the required timeframe results in termination of services
