PLATFORM SPORTS AUSTRALIA PTY LTD — STUDENT-ATHLETE PLACEMENT SERVICES AGREEMENT
PARTIES
This Agreement is entered into between:
Platform Sports Australia Pty Ltd ACN 689 976 109 ("Platform Sports" or "Service Provider"), a company registered in Australia providing student-athlete placement services for admission to U.S. colleges.
Fabricio Ballon ("Athlete" or "Client"), a student-athlete seeking services to facilitate college placement in the United States. If the Athlete is under legal age to authorise a contract, a Legal Guardian (parent or legal guardian) must accept these terms on their behalf and is jointly and severally liable for all obligations under this Agreement, including payment.
BACKGROUND
Platform Sports Australia Pty Ltd provides services to assist student-athletes in applying for admission and scholarships to U.S. colleges. The Client acknowledges that acceptance into a college and the award of a scholarship are not guaranteed. This Agreement outlines the services provided and the Client's responsibilities.
1. TERM AND TERMINATION
This Agreement begins upon acceptance of this quote and remains in effect until the earliest of: the Athlete's confirmed Placement at a U.S. college (Placement Only Package); expiry of the Ongoing Support Period (Placement + Ongoing College Support Package); or earlier termination in accordance with this Agreement.
If the Athlete transfers colleges, services continue at the new institution as covered under the selected package. If the Athlete withdraws, this Agreement terminates on written notice, subject to the Refund Policy below.
Platform Sports reserves the right to suspend or terminate this Agreement without refund if the Client:
- Fails to pay any amount when due and does not remedy within 7 days of written notice;
- Engages another placement or recruitment service without Platform Sports' prior written consent;
- Fails to provide necessary documentation or information in a timely manner;
- Breaches any terms of this Agreement and fails to remedy within 14 days of written notice; or
- Fails to comply with U.S. college recruitment or NCAA/NAIA/NJCAA eligibility guidelines.
Either party may terminate this Agreement on 30 days' written notice. Any refund on termination will be assessed under the Refund Policy below.
2. SERVICES PROVIDED
Platform Sports will provide the Client with the following services under the selected package. All services are advisory and facilitation only. Platform Sports does not guarantee any outcome, including admission, scholarships, eligibility, or visa approval. Platform Sports does not provide employment placement services and is not acting as an employment agent.

- Marketability planning, including guidance on tournament and event selection, training routine considerations, highlight video planning, and timing of recruiting outreach around the Athlete's competition calendar
- One professionally edited highlight video
- Customised college CV development
- Networking with college coaches
Academic and eligibility
- Guidance on athletic eligibility (NCAA, NAIA, NJCAA)
- Transcript evaluation and processing
- SAT preparation assistance
- Scholarship interpretation and advisement
Application and placement
- College application and selection support
- Athletic contract review and advisory (general guidance only; does not constitute legal advice)
Wellness and education
- Monthly mental wellness check-ins with Platform Sports. These sessions provide structured wellness support throughout the placement process. They are not clinical sports psychology services, and Platform Sports is happy to refer the Athlete to an independent registered sports psychologist if dedicated performance work is required.
- Masterclass access — a recorded content library covering the recruiting process, NCAA rules and eligibility, the transition to US college, academic expectations, and student-athlete life
- Ongoing monthly advisory meetings with the Placement Team
Administrative
- Visa and immigration support, limited to administrative and logistical assistance only — including timeline tracking, document coordination, visa appointment preparation, and liaison with the college's international student office in relation to the I-20. This does not constitute migration advice or immigration assistance under Commonwealth law. Platform Sports is not a registered Migration Agent (MARA), and any matter requiring formal migration advice will be referred to a registered Migration Agent.
Ongoing College Support
In addition to the Placement Services above, the Placement + Ongoing College Support package includes the following services and protections throughout the Athlete's collegiate tenure (up to 4 years):
Ongoing advisory
- Ongoing college advisory during the Athlete's collegiate tenure, covering eligibility, compliance, time management, coaching dynamics, and general adjustment support
- Email and phone support, plus 2 in-depth annual advisory sessions
- Minimum 4 quarterly check-in sessions per year (45–60 minutes each)
- Extended Masterclass access throughout collegiate tenure
- Personalised athlete landing page for recruitment
Built-in collegiate protections
- College transfer support — full transfer process managed at no additional charge, including eligibility review, coach networking, scholarship renegotiation, and visa updates
- NCAA / NAIA / NJCAA eligibility monitoring throughout the Athlete's collegiate tenure
- Scholarship funding advisement if funding is reduced or not renewed
- Emergency placement support if a program is discontinued or circumstances require a new placement
- Communication facilitation with coaches, athletic directors, and admissions staff
Not covered: third-party costs, personal medical or travel insurance, legal fees, or any guarantee of scholarship renewal or playing time. The collegiate protections above are service commitments, not regulated financial products or insurance.
General
Services are advisory and facilitation only. Platform Sports does not guarantee any outcome, including admission, scholarships, eligibility, or visa approval. Platform Sports does not provide employment placement services and is not acting as an employment agent.
3. CLIENT OBLIGATIONS
The Client agrees to:
- Fully complete all required college applications and register with the NCAA/NAIA/NJCAA as applicable;
- Provide accurate, complete, and up-to-date information and materials as reasonably required;
- Pay all fees in accordance with the Payment Schedule in this quote;
- Maintain regular communication with Platform Sports throughout the process;
- Promptly inform Platform Sports of any direct contact from U.S. college coaches, recruiters, or athletic association representatives, including the substance of those communications (the Athlete may respond to coaches but must notify Platform Sports promptly);
- Not engage any other placement or recruitment service provider during the term without Platform Sports' prior written consent;
- Attend all mandatory recruitment meetings and use the designated meeting scheduler for all Placement Team sessions;
- Acknowledge and sign off on the included recruitment video;
- Maintain the academic and athletic standards required by U.S. colleges; and
- Cover all excluded expenses as outlined in clause 6.
Failure to meet these obligations may result in suspension or termination of services without refund.
Social Media & Promotional Content
Platform Sports may share the Client's success story and achievements on its social media and marketing platforms, unless the Client submits a written opt-out to support@platformsportsmanagement.com.
4. PAYMENT TERMS
The total Service Fee is A$8,500 and is payable in full in accordance with the Invoice. Payment must be made by electronic funds transfer to Platform Sports' nominated bank account and is taken as received when funds are cleared.
If the Client fails to pay the Service Fee by the due date, Platform Sports may:
- Require payment within 7 days of written notice;
- Suspend services until payment is received; and/or
- Terminate this Agreement if payment remains outstanding beyond that period.
Interest accrues on overdue amounts at 5% per annum above the Reserve Bank of Australia cash rate, calculated daily and compounded monthly. The Client is responsible for Platform Sports' reasonable costs of recovering overdue amounts.
The Service Fee is non-refundable where the Client fails to meet eligibility requirements, voluntarily withdraws, decides not to pursue U.S. college attendance, or does not receive an offer or scholarship.
5. REFUND POLICY
All payments made under this Agreement are non-refundable, except in the following circumstances:
30-Day Satisfaction Period The Athlete may request an 80% refund if dissatisfied with the services, provided the request is made in writing within 30 days of accepting this Agreement. If no written request is received within this period, the right to a refund expires and no refunds will be issued thereafter.
Medical or Exceptional Circumstances If the Athlete is medically unable to continue and provides verified documentation from a qualified medical professional, Platform Sports may consider a refund on a case-by-case basis.
Termination by Platform Sports If Platform Sports terminates this Agreement for reasons unrelated to the Client's performance or obligations, a proportional refund based on services already rendered may be provided.
Geopolitical and Travel Restrictions If the Client is genuinely prevented from continuing due to a formal government-declared national emergency or travel restrictions that prevent entry into or study within the United States, the Client may submit a written request within 14 days with supporting evidence. Platform Sports will respond within 14 days, offering a deferral, a transfer to an alternative pathway, or a partial refund for services not yet delivered. This clause applies only where the Client is materially prevented — not where withdrawal is by choice.
Platform Sports will review all refund requests and respond within 14 days of receipt. No refunds apply to third-party costs including NCAA/NAIA/NJCAA registration fees, SAT/ACT fees, visa fees, SEVIS fees, travel costs, insurance, tutoring, or college application fees.
6. EXCLUDED EXPENSES
The Client is solely responsible for all third-party costs, including but not limited to:
- Standardised testing fees (SAT/ACT)
- NCAA/NAIA/NJCAA registration and compliance fees
- Transcript submission costs
- Visa and immigration fees
- SEVIS fees
- Travel expenses
- Medical and travel insurance
- Additional tutoring and preparation
- College application fees
- College expenses after Placement, including tuition gaps
7. CONFIDENTIALITY AND NON-CIRCUMVENTION
Both parties agree to keep all information exchanged under this Agreement strictly confidential, including academic records, recruitment strategies, coach and college relationships, pricing, and any proprietary information disclosed by Platform Sports.
During the term of this Agreement and for the applicable Restraint Period after termination, the Client must not, without Platform Sports' prior written consent, directly or indirectly:
- Contact, engage, or deal with any college, coach, recruiter, or other contact introduced by Platform Sports for the purpose of obtaining placement, scholarships, or related services outside this Agreement;
- Bypass or attempt to bypass Platform Sports in relation to any opportunity or relationship arising from the Services; or
- Use any confidential information, intellectual property, or materials provided by Platform Sports to approach U.S. colleges or related organisations independently.
This clause does not prevent the Client from pursuing U.S. college opportunities independently where those opportunities do not arise from the Services or from any contact introduced by Platform Sports.
Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, or that is required to be disclosed by law or court order.
8. INTELLECTUAL PROPERTY
All intellectual property owned or developed by Platform Sports in connection with the Services — including materials, templates, methodologies, processes, and deliverables — remains the property of Platform Sports.
The Client retains ownership of their own materials but grants Platform Sports a non-exclusive licence to use those materials for the purpose of delivering the Services. The Client may use deliverables solely for the Athlete's personal recruitment and application purposes and must not commercialise or otherwise exploit them without Platform Sports' prior written consent.
9. PRIVACY
Platform Sports collects, uses, and discloses personal information in accordance with the Privacy Act 1988 (Cth) and its Privacy Policy, available at platformsportsmanagement.com/privacy-policy.
The Client consents to Platform Sports collecting, using, and disclosing personal information — including sensitive information such as health information — for the purposes of providing the Services, including sharing such information with U.S. colleges, sporting bodies, eligibility organisations, contractors, and other third parties as reasonably required. The Client acknowledges that personal information may be disclosed to overseas recipients, including in the United States.
10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
Platform Sports cannot guarantee the Client's admission to any U.S. college or the award of any scholarship, in accordance with NCAA/NAIA/NJCAA bylaws.
Platform Sports is not responsible for:
- NCAA/NAIA/NJCAA eligibility decisions;
- Visa approvals or rejections;
- The Client's academic or athletic performance;
- Decisions or actions of third parties including U.S. colleges, sporting bodies, or immigration authorities; or
- Any fees or costs beyond those explicitly covered in this Agreement.
To the maximum extent permitted by law, Platform Sports' total aggregate liability is limited to the total Service Fee paid by the Client under this Agreement. Neither party is liable for indirect or consequential loss, including loss of profits, opportunity, or reputation.
The Client indemnifies Platform Sports and its officers, employees, and contractors against all claims and losses arising from any breach of this Agreement by the Client, any inaccurate or misleading information provided by the Client, or any infringement of third-party rights arising from Client materials.
11. DISPUTE RESOLUTION
If a dispute arises, the party claiming the dispute must give written notice to the other party setting out the nature of the dispute. Within 7 days of that notice, both parties must meet or confer by phone or video and use reasonable endeavours to resolve the dispute before pursuing any other action. Nothing in this clause prevents either party from seeking urgent injunctive relief.
12. AMENDMENTS
All amendments to this Agreement require mutual written consent signed by both parties. No unilateral changes shall be effective.
13. GOVERNING LAW
This Agreement is governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland.
14. GENERAL
- Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
- Assignment: Platform Sports may assign or transfer its rights and obligations under this Agreement as part of any sale of its business. The Client cannot assign any rights or obligations without Platform Sports' prior written consent.
- Severability: Any provision that is illegal, void, or unenforceable will be read down or severed, and the remainder of the Agreement continues in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that or any other provision. All waivers must be given expressly in writing.
- Notices: Notices must be in writing and sent to the contact details specified in this quote. Email notices are taken as received 5 minutes after sending, unless a non-delivery message is received within 2 hours.
SCHEDULE 3 — PAYMENT TERMS
- Service Fee: A$8,500 (non-refundable)
- Payment is due according to the invoice.
- Failure to pay within the required timeframe results in the termination of services.
ACCEPTANCE
By accepting this quote, the Client confirms they have read, understood, and agree to be bound by these terms and conditions in full. Where the Athlete is under 18 years of age, the Legal Guardian confirms they have full authority to bind the Athlete and are jointly and severally liable for all obligations under this Agreement.
