Student-Athlete Placement Services Agreement — Platform Limited (New Zealand)

Parties

This Agreement is entered into between:

Platform Limited ("Platform"), a company registered in New Zealand, provides student-athlete placement services for admission to U.S. colleges, trading as Platform Sports Management.

Client / Athlete: Amrit Rai ("Athlete" or "Client"), a student-athlete seeking services to facilitate college placement in the United States. If the client is under legal age to authorise a contract, a legal guardian (parent) may sign on their behalf.

Background

Platform Limited provides services to assist student-athletes in applying for admission and scholarships to U.S. colleges. The Client acknowledges that acceptance into a college and the award of a scholarship are not guaranteed. This Agreement outlines the services provided and the Client's responsibilities.

Term and Termination

This Agreement begins upon signing and remains in effect until the Client's confirmed graduation from a U.S. college, or until earlier termination. If the Athlete transfers colleges, services continue at the new institution. If the Athlete withdraws, this Agreement terminates on written notice, subject to the Refund Policy.

Platform reserves the right to terminate without refund if the Client:

  • Fails to comply with U.S. college recruitment guidelines;
  • Engages other recruiting services without Platform's written consent;
  • Fails to provide necessary documentation in a timely manner; or
  • Breaches any terms of this Agreement.

Client Obligations

  • Fully complete all required documents and provide accurate information;
  • Pay the required fees as per the invoice;
  • Maintain communication with Platform throughout the process;
  • Inform Platform of direct contact from U.S. college coaches (the Athlete may respond but must notify Platform promptly);
  • Ensure compliance with NCAA/NAIA eligibility requirements.

Failure to meet these obligations may result in termination without a refund.

Social Media & Promotional Content

Platform Sports Management may share the Client's success story and achievements on its social media and marketing materials, unless the Client submits a written opt-out to support@platformsportsmanagement.com.

Payment Terms

The total service fee is NZ$7,500, per the invoice issued by Platform. The Service Fee is non-refundable except as set out in the Refund Policy. Failure to pay when due may result in suspension or termination of services.

The fee is non-refundable where the Client fails to meet eligibility requirements, voluntarily withdraws, decides not to pursue university attendance, or does not receive an offer or scholarship.

Refund Policy

30-Day Satisfaction Period

The Athlete may request an 80% refund if dissatisfied, provided the request is made in writing within 30 days of signing.

Medical or Exceptional Circumstances

If the Client is medically unable to continue with verifiable documentation, Platform may consider a refund on a case-by-case basis.

Termination by Platform

If Platform terminates for reasons unrelated to Client performance, a pro-rata refund based on services delivered may be provided. Platform responds to refund requests within 14 days. No refunds apply to third-party costs including NCAA/NAIA registration, SAT, visa, insurance, or travel.

Confidentiality and Non-Circumvention

Both parties agree to keep all information exchanged confidential. The Client agrees not to bypass Platform and engage directly with colleges or scholarship providers using information obtained through Platform's services without prior written approval.

Disclaimers and Limitations of Liability

Platform cannot guarantee college admission or scholarship awards. Platform is not responsible for: NCAA/NAIA eligibility decisions; visa approvals or rejections; the Client's academic or athletic performance; or any fees beyond those in this Agreement.

Amendments

All amendments require mutual written consent signed by both parties. No unilateral changes shall be effective.

Governing Law

This Agreement is governed by the laws of New Zealand. Disputes will be resolved in the courts of New Zealand.

Assignment

Platform may assign this Agreement only with the Client's prior written consent. Any assignment will not reduce services or alter the Client's rights.

Special Clause — Geopolitical and Travel Restrictions

If the Client is genuinely prevented from continuing due to a formal government-declared national emergency or travel restrictions that prevent entry into, or study within, the United States, the Client may submit a written request within 14 days, with supporting evidence. Platform will respond within 14 days, offering: a deferral; a transfer to an alternative pathway; or a partial refund for services not yet delivered. This clause applies only where the Client is materially prevented — not where withdrawal is by choice.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Any modifications must be in writing and signed by both parties.
